Welcome to MyEtherWallet, a free, open-source, client-side tool for interacting directly with the blockchain. Please read these terms of service ("Terms of Service") carefully. They apply to your use of the MyEtherWallet Inc. ("MyEtherWallet") website at myetherwallet.com and/or the MyEtherWallet mobile applications, MEW wallet and MEWconnect, and web browser extension (collectively, the "Site") and the related services offered by MyEtherWallet through the Site. We will refer to the Site and related services offered through the Site as the Services.
1. Introduction
The Terms of Service set forth the legally binding terms for your use of the Services. By using the Services, you agree to be bound by the Terms of Service, any additional posted guidelines or rules applicable to specific services and features, and our Privacy Policy (together, the "Agreement"). If you are accepting the Terms of Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to the terms set forth herein. If you do not have such authority or do not agree to be bound by the Terms of Service, you may not access or use the Services. You must agree to the Terms of Service and Privacy Policy when you create a wallet via the Site, perform a transaction via the Site, and/or otherwise use the Services.
THESE TERMS OF SERVICE CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. PLEASE NOTE THAT SECTION 10 OF THE TERMS OF SERVICE INCLUDES AN ARBITRATION AGREEMENT. EXCEPT FOR CERTAIN TYPES OF DISPUTES MENTIONED IN THAT CLAUSE, YOU AND MYETHERWALLET AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS ARBITRATION.
MyEtherWallet may, in its sole discretion, modify or revise the Terms of Service at any time, and you agree to be bound by such modifications or revisions. Although we may attempt to notify you when major changes are made to the Terms of Service, you should periodically review the most up-to-date version, which will always be posted at myetherwallet.com. Your continued use of the Services constitutes your acceptance of such changes.
2. Services Eligibility and Information
2.1 Services Eligibility
The Services are offered and available to users who are 18 years of age or older. Any registration by, use of or access to the Services by anyone under 18 is unauthorized and in violation of these Terms of Service. By using the Services, you represent and warrant that you are 18 years of age or older and that you agree to abide by the Terms of Service.
2.2 Access to the Services Information and Limitations
The Site is a free, open-source, client-side interface that allows you to interact directly with the blockchain, while remaining in full control of your keys and assets.
When you access certain features of the Services, you will be able to create a digital wallet ("Wallet") and/or access a Wallet to perform a variety of blockchain transactions. You will receive a key and set up a password, but you do not and will not create an account with MyEtherWallet, and you do not transfer any assets to us. Your digital assets exist solely on the relevant blockchain network and we do not control, custody or store them. You retain sole control of your private keys, seed phrase, passwords and other credentials required to access or use the Wallet ("Credentials"). We have no ability to help you access or recover your private keys for your Wallet, so please keep them in a safe place. If you lose or compromise your Credentials, you may permanently lose access to your digital assets. We are not responsible for any loss or theft of digital assets arising from: (a) your failure to secure your device or Credentials; (b) malware, viruses, or other malicious software on your device; (c) unauthorized access to the Wallet resulting from your actions or omissions; or (d) any blockchain transactions signed by the Wallet.
You are solely responsible for your use of the Services, including without limitation for storing, backing-up, and maintaining the confidentiality of your keys, passwords, and information, and for the security of any transactions you perform using the Site. You expressly relieve and release MyEtherWallet from any and all liability and/or loss arising from your use of the Services. Your use of the Wallet does not create any custodial, fiduciary, or similar relationship between you and us. You, and only you, control and are responsible for the digital assets stored or managed through the Wallet. You expressly acknowledge that blockchain transactions are irreversible once broadcast to the network, and you assume full responsibility for all transactions submitted through the Wallet. You expressly relieve and release us from any and all liability, claims, or losses arising from your use of the Wallet or the Services, including without limitation your failure to secure or back up your Credentials.
Users interacting with digital assets as investments should be aware that all investments involve risks, including the risk of loss of some or all assets. Losses are not insured, and the user assumes responsibility for all losses. Users are advised to exercise caution, conduct research, and not to transact more than they can afford to lose.
- As a condition to accessing or using the Services, you represent and warrant to the following:
- a) You are not listed on any U.S. Government list of prohibited, sanctioned, or restricted parties;
- b) You are not located in a country that is subject to a U.S. Government embargo;
- c) You are solely responsible for ensuring that your access and use of the Site in such country, territory, or jurisdiction does not violate any applicable laws;
- d) You are not a resident, national, or agent of Afghanistan, Algeria, Belarus, China (Does not include Hong Kong), Crimea, Donetsk People's Republic (DNR), Luhansk People's Republic (LNR), Kherson and Zaporizhzhia regions (Ukraine), the city of Sevastopol (Ukraine), Cuba, Democratic Republic of Korea, Eritrea, Iran, Libya, Morocco, Myanmar, Nepal, Somalia, Sudan, South Sudan, Syria, Venezuela or any other country in which the United States, the United Kingdom or the European Union embargoes goods or imposes similar sanctions (collectively, "Restricted Territories");
- e) You have not been identified as a Specially Designated National or placed on any sanctions lists by the U.S. Treasury Department's Office of Foreign Assets Control, the U.S. Commerce Department, or the U.S. Department of State (collectively, "Sanctioned Persons"); and you will not use our Services to conduct any illegal or illicit activity;
- f) You do not intend to and will not transact with any Sanctioned Person or anyone in a Restricted Territory; and
- g) Your use of the Services is not prohibited by and does not otherwise violate or assist you to violate any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, or another directive, requirement, or guideline, published or in force that applies to or is otherwise intended to govern or regulate any person, property, transaction, activity, event or other matter, including any rule, order, judgment, directive or other requirement or guideline issued by any domestic or foreign federal, provincial or state, municipal, local or other governmental, regulatory, judicial or administrative authority having jurisdiction over you or the Services.
Prior to using the Services for any purpose, we highly recommend that you read our guides, "MyEtherWallet: An Introduction," and “Pro-Tips: How to Avoid Phishing/Scams” for some recommendations on how to be proactive about your security. In addition, we recommend that you review the additional FAQs, tips, and guidelines provided on the Site.
3. Rights and Restrictions
3.1 Our Proprietary Rights
Our Services are protected by copyright, trademark, and other laws of the United States and foreign countries. Except as expressly provided in these Terms, we (or our licensors) exclusively own all right, title and interest in and to the Service, including all associated intellectual property rights. You may not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services, including in any Content. You acknowledge and agree that any feedback, comments or suggestions you may provide regarding the Services will be the sole and exclusive property of MyEtherWallet, and you hereby irrevocably assign to us all of your right, title and interest in and to the foregoing. MyEtherWallet reserves the right to discontinue any aspect of the Site at any time.
3.2 Our Open-Source Content
The open-source components of our Site are offered under the following license:
Permission is hereby granted, free of charge, to any person obtaining a copy of this software and associated documentation files (the "Software"), to deal in the Software without restriction, including without limitation the rights to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software, and to permit persons to whom the Software is furnished to do so, subject to the following conditions:

3.3 Restrictions
You agree not to:
- a) interfere with, damage, impair, or disable the Services' operation, by any means (whether through automated means or otherwise), including uploading or otherwise disseminating viruses, worms, spyware, adware or other malicious code;
- b) use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express consent or bypass our robot exclusion headers or similar measures;
- c) remove, circumvent, disable, damage or otherwise interfere with the Services' security-related features, features that prevent or restrict the use or copying of any part of the Services, or features that enforce limitations of the Services;
- d) take any action that imposes, or may impose, in our sole discretion, an unreasonable or disproportionately large load on our technology infrastructure or otherwise make excessive traffic demands of the Service;
- e) use the Services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to intellectual property laws);
- f) use, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of MyEtherWallet;
- g) use the Services to transmit or exchange digital assets that are the direct or indirect proceeds of any criminal or fraudulent activity, including, without limitation, terrorism or tax evasion;
- h) use the Services to violate any applicable laws including, without limitation, any applicable (i) anti-money laundering and anti-terrorist financing laws and sanctions programs, including, without limitation, the U.S. Department of Treasury's Office of Foreign Asset Controls; or (ii) law, rule, or regulation concerning the integrity of trading markets, including, without limitation, the manipulative tactics commonly known as spoofing and wash trading; or
- i) circumvent any content-filtering techniques, security measures or access controls that MyEtherWallet employs with respect to the Services, including, without limitation, through the use of a virtual private network (VPN).
4. Privacy
MyEtherWallet's Privacy Policy applies to the collection and use of “Personal Information,” which is defined as information about an individual that (either by itself or when combined with information from other available sources) allows that individual to be identified. MyEtherWallet's Privacy Policy is available at https://www.myetherwallet.com/privacy-policy and its terms are made a part of these Terms of Service by this reference. You understand that by using the Services you consent to the collection, use and disclosure of your Personal Information as set forth in our Privacy Policy, and to have your Personal Information collected, used, transferred to and processed in the United States.
5. Third Party Content and Services
The Site may contain links to third-party websites and/or applications, or employ the use of API integrations to third-party applications (“Third-party Applications”) that are not owned or controlled by MyEtherWallet and that allow users to transfer custody of your digital assets to another party, including but not limited to access swaps, exchange or similar functionalities that are powered, operated and controlled exclusively by Third-party Applications. We do not own, operate, control, or maintain any Third-party Applications, and we do not execute, process, or settle any swap or exchange transactions, nor do we provide any information related to such transactions, including, but not limited the current or historical prices of digital assets. By using a Third-party Application, you acknowledge and agree to the terms governing such Third-party Application. Access to and use of any Third-party Applications is at your own risk and, we are not responsible for (a) the accuracy or reliability of information on Third-party Applications; (b) the acts or omissions of the operators of Third-party Applications (or their partners or affiliates); (c) any loss or damage incurred in connection with the use of any Third-party Applications; or (d) any transaction you consummate in connection with your use or access of any Third-party Applications. We encourage you to be aware when you utilize these Third-party Applications and to read the terms and privacy policy of each other Third-party Application that you utilize. We provide these links and integrations merely as a convenience, and the inclusion of such links and integrations does not imply an endorsement. Upon leaving the Site, these Terms of Service shall no longer govern. By using the Services, you expressly relieve and release MyEtherWallet from any and all liability arising from your use of any Third-party Applications.
6. Subscription Plans
Some features of the MyEtherWallet mobile app are available through a paid subscription plan (“Subscription”). Subscriptions are billed on a recurring basis, with options for monthly or yearly billing cycles (each, a “Billing Cycle”).
At the end of each Billing Cycle, your Subscription will renew automatically unless you or MyEtherWallet cancel it prior to the next renewal. You may cancel your Subscription through the applicable App Store (as defined below). We may cancel your Subscription effective at your next renewal with or without notice.
Your current payment method configured in the Apple App Store or the Google Play Store, as applicable (each, an “App Store”), will be used to process your Subscription payment. You must maintain current and accurate billing information with the applicable App Store, and provide MyEtherWallet with any additional information reasonably requested by MyEtherWallet to maintain your Subscription. By providing this information or signing up for a Subscription or not canceling a Subscription prior to renewal, you authorize MyEtherWallet to charge your payment method for any Subscription fees incurred through your account.
If automatic billing fails for any reason, MyEtherWallet will send you an electronic invoice by email or through the Service with instructions for manually making the payment for the applicable billing period.
6.1 Free Trial
MyEtherWallet may offer a free trial to the Subscription for a limited time (“Free Trial”). To sign up for a Free Trial, you may be required to enter your billing information with the applicable App Store.
You will not be charged by MyEtherWallet until the trial period ends. On the last day of the Free Trial, unless you have canceled your Subscription, you will be automatically charged the applicable Subscription fees for the chosen plan. You may cancel your Subscription through the applicable App Store.
MyEtherWallet reserves the right to modify or cancel the Free Trial offer at any time without notice.
6.2 Fee Changes
MyEtherWallet may change the Subscription fees for its plans at any time in its sole discretion. Any changes to the Subscription fees will take effect at the end of the then-current Billing Cycle.
MyEtherWallet will make reasonable efforts to provide you with prior notice by email or through the Services of any changes to the Subscription fees to give you an opportunity to cancel your Subscription before the changes take effect. If you do not cancel your Subscription as provided above after the fee changes, you agree to pay the modified fees.
6.3 Refunds
Unless required by law, paid Subscription fees are non-refundable.
7. Disclaimers and Limitations on Liability
YOUR USE OF THE SITE, ITS CONTENT AND ANY SERVICES OFFERED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT AND ANY SERVICES OFFERED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER MYETHERWALLET NOR ANY PERSON OR ENTITY ASSOCIATED WITH MYETHERWALLET MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE SITE OR THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER MYETHERWALLET NOR ANY PERSON OR ENTITY ASSOCIATED WITH MYETHERWALLET REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT OR ANY SERVICES OFFERED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SITE OR ANY SERVICES OFFERED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
MYETHERWALLET HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.
IN NO EVENT WILL MYETHERWALLET, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, OR ANY SERVICES OFFERED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.
The limitations and disclaimers in this section do not purport to limit liability or alter your rights beyond what is permitted by applicable law. MyEtherWallet's liability shall be limited to the extent permitted by law.
MyEtherWallet is based in the state of California in the United States. We provide this Site for use only by persons located in the United States. We make no claims that the Site or any of its content is accessible or appropriate outside of the United States. Access to the Site may not be legal by certain persons or in certain countries. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. Similarly, the Site has been translated into a variety of languages. However, MyEtherWallet can only verify the validity and accuracy of the information provided in English and, because of this, the English version of the Site is the official text.
8. Indemnity
You agree to defend, indemnify and hold harmless MyEtherWallet, its officers, directors, employees and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys' fees) arising from your use of and access to the Services, or your violation of these Terms of Service. This defense and indemnification obligation will survive these Terms of Service and your use of the Services.
9. Assignment
These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by MyEtherWallet without restriction.
10. Arbitration Agreement; Class Waiver; Jury Waiver
PLEASE READ THE FOLLOWING ARBITRATION AGREEMENT CAREFULLY BECAUSE IT REQUIRES YOU AND MYETHERWALLET TO AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, UNLESS OTHERWISE NOTED.
10.1 Applicability of Arbitration Agreement. All claims and disputes (excluding claims for injunctive or other equitable relief as set forth below) in connection with the Agreement, including the Terms of Service, that cannot be resolved informally or in small claims court shall be resolved, to the extent permitted by applicable law, by binding arbitration on an individual basis under the terms of this Arbitration Agreement. This Arbitration Agreement applies to you and MyEtherWallet, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms of Service.
10.2 Notice Requirement and Informal Dispute Resolution. Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute ("Notice") describing the nature and basis of the claim or dispute, and the requested relief. A Notice to MyEtherWallet should be sent to: 461 W Woodbury Road Unit #692 Altadena, CA 91001, Attention: Legal. After the Notice is received, you and MyEtherWallet may attempt to resolve the claim or dispute informally. If you and MyEtherWallet do not resolve the claim or dispute within 30 days after the Notice is received, either party may begin an arbitration proceeding. The amount of any settlement offer made by any party may not be disclosed to the arbitrator until after the arbitrator has determined the amount of the award, if any, to which either party is entitled.
10.3 Arbitration Rules. Arbitration shall be initiated through the American Arbitration Association ("AAA"), an established alternative dispute resolution provider ("ADR Provider") that offers arbitration as set forth in this section. If AAA is not available to arbitrate, the parties shall agree to select an alternative ADR Provider. The rules of the ADR Provider shall govern all aspects of this arbitration, including but not limited to the method of initiating and/or demanding arbitration, except to the extent such rules conflict with the Terms of Service. The AAA Consumer Arbitration Rules ("Arbitration Rules") governing the arbitration are available online at www.adr.org or by calling the AAA at 1-800-778-7879. The arbitration shall be conducted by a single, neutral arbitrator. Any claims or disputes where the total amount of the award sought is less than ten thousand U.S. Dollars (US $10,000.00) may be resolved through binding non-appearance-based arbitration, at the option of the party seeking relief. For claims or disputes where the total amount of the award sought is ten thousand U.S. Dollars (US $10,000.00) or more, the right to a hearing will be determined by the Arbitration Rules. Any hearing will be held in the city of Los Angeles, California, unless the parties agree otherwise. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
10.4 Additional Rules for Non-Appearance Based Arbitration. If non-appearance arbitration is elected, the arbitration shall be conducted by telephone, online, and/or based solely on written submissions; the specific manner shall be chosen by the party initiating the arbitration.
10.5 Authority of Arbitrator. If arbitration is initiated, the arbitrator will decide the rights and liabilities, if any, of you and MyEtherWallet, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the AAA Rules, and the Terms of Service. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and MyEtherWallet.
10.6 Waiver of Jury Trial. THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement, excluding claims for injunctive or other equitable relief as set forth below. Arbitration procedures are typically more limited, more efficient, and less costly than court proceedings and are subject to very limited review by a court. If any litigation should arise between you and MyEtherWallet in any state or federal court in a suit to vacate or overrule an arbitration award or otherwise, YOU AND MYETHERWALLET WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge.
10.7 Waiver of Class or Consolidated Actions. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.
10.8 Severability If any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable by a court of competent jurisdiction, then such specific part or parts shall be of no force and effect and shall be severed, and the remainder of the Arbitration Agreement shall continue in full force and effect.
10.9 Right to Waive. Any or all of the rights and limitations set forth in this Arbitration Agreement may be waived by the party against whom the claim is asserted. Such waiver shall not waive or affect any other portion of this Arbitration Agreement.
10.10 Survival of Agreement. This Arbitration Agreement will survive the termination of your relationship with MyEtherWallet.
10.11 Small Claims Court. Notwithstanding the foregoing, either you or MyEtherWallet may bring an individual action in small claims court.
10.12 Equitable Relief. Notwithstanding the foregoing, either party may seek equitable relief before a court of competent jurisdiction for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents or emergency equitable relief before a court of competent jurisdiction to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of any other rights or obligations under this Arbitration Agreement.
11. Governing Law, Venue, and Jurisdiction
To the extent the parties are permitted under these Terms of Service to initiate litigation in court, both you and MyEtherWallet agree that all claims and disputes, including statutory claims and disputes, arising out of or relating to the Agreement, including the Terms of Service, shall be governed in all respects by the substantive law of the state of California, without regard to its conflict of law principles. You and MyEtherWallet hereby consent to submit to the jurisdiction of the federal and state courts sitting in the state of California for any actions, suits, or proceedings arising out of or relating to the Agreement, including the Terms of Service, that are not subject to the Arbitration Agreement.
YOU AND MYETHERWALLET AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED TO THE EXTENT PERMITTED BY LAW.
12. Entire Agreement
The Terms of Service, Privacy Policy, any other legal notices published by MyEtherWallet on the Site shall constitute the entire agreement between you and MyEtherWallet concerning the Services. If any provision of these Terms of Service is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect. No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and MyEtherWallet's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
ADDENDUM TO TERMS OF SERVICE
Season 11 Energy Reactor Rewards Program
Effective Date: April 13, 2026
1. Program Overview and Mechanics
The Program enables eligible users to convert accumulated Energy points into randomized rewards through the Energy Reactor feature (each, a “Reward”). Each conversion (a "Conversion") requires the expenditure of fifty (50) Energy points. The Program includes an element of chance; the specific Reward received from each Conversion is determined by the outcome of a randomly generated result, and no skill or ability of the user influences the outcome. The Program is conducted at MyEtherWallet's discretion, and may be terminated at any time; provided, however, that any such termination the Program shall require at least three (3) days' prior notice to users, with Platform banners or posts by the Platform's official social media channels constituting such notice.
2. Reward Categories and Odds Disclosure
The Program offers the following categories of rewards, each with the odds of occurrence set forth below.
2.1 First Conversion Guarantee. When a user completes their first Conversion in the Program, they are guaranteed to receive a Reward consisting of GM Tokens (as defined below) (each, a “Tokenized Stock Reward”). The USDC-equivalent value of the first Conversion reward is determined by the following probability distribution:

provided, however, that in the event any user has received aggregate Tokenized Stock Rewards of more than $14.70 during the Program period, their next Tokenized Stock Reward shall automatically be processed at a Reward value of $5.30.
2.3 Maximum Tokenized Stock Winnings. New Tokenized Stock Reward distributions are capped at a maximum aggregate value of Twenty U.S. Dollars ($20.00) across all Conversions during the Program period. Once this cap is reached, rewards for subsequent Conversions shall be determined by the following probability distribution:

2.4 Alternatives to Tokenized Stock Rewards. Users may elect, at any time during which they receive a Tokenized Stock Reward, to instead receive a reward of 200 Energy as an alternative.
3. Tokenized Stock Rewards
3.1 Nature of Tokenized Stocks. Tokenized Stock Rewards consist of tokens issued by Ondo Global Markets (BVI) Limited ("Ondo GM"). These tokens ("GM Tokens") are designed to provide the holder with economic exposure to the market value of the underlying publicly traded security, including reinvested dividends net of applicable withholding tax. GM Tokens do not represent direct ownership of the underlying securities and do not confer shareholder voting rights, statutory information rights, or other shareholder rights from the issuer of those securities. GM Tokens are generally designated by the suffix "on" appended to the underlying security's ticker symbol (e.g., TSLAon for Tesla Inc. exposure).
3.2 Eligible GM Tokens. Users who win tokenized stock rewards are able to choose between the following GM Tokens as Tokenized Stock Rewards (subject to availability and change at MEW's discretion):

3.3 Claim Process and 1inch Integration. Users may claim Tokenized Stock Rewards through one or more Third-Party Applications, including the 1inch Network's Fusion swap protocol. The exact quantity of GM Tokens received is determined at the time of the swap transaction based on the then-current market price and is subject to network fees, swap execution parameters, and price slippage. The final value received may differ from the stated USDC-equivalent amount due to these factors, and MEW makes no guarantee as to the precise value of any Tokenized Stock Reward at the time of claim. MEW does not own, operate, control, or maintain any Third-Party Application, and does not execute, process, or settle any swap or exchange transactions.
3.4 Ondo GM Terms. By claiming a Tokenized Stock Reward, you acknowledge that you have reviewed and agree to be bound by Ondo Global Markets' terms of service, offering documents, and eligibility requirements available at docs.ondo.finance. GM Tokens are offered only to non-U.S. persons and are subject to jurisdictional restrictions. MEW is not the issuer of GM Tokens and bears no responsibility for Ondo GM's performance, solvency, or compliance with applicable law.
4. NFT Rewards
4.1 NFT Characteristics. Rewards consisting of non-fungible tokens (each, an "NFT Reward") minted on the Ethereum blockchain via the OpenSea platform at contract address 0xeeeeeece1b4d9c1bd876b3e7fbe1871947c705cd (the "NFT Contract"). There is no fixed supply cap; NFTs are minted on-demand when claimed by users. NFTs are available in three rarity tiers:
(a) Common NFTs feature standard artwork and are the most frequently awarded NFT tier (9% probability on subsequent Conversions).
(b) Uncommon NFTs feature enhanced visual elements and artwork distinguishing them from Common NFTs (2.5% probability on subsequent Conversions).
(c) Rare NFTs feature unique, premium artwork and represent the scarcest tier of NFT Rewards (0.5% probability on subsequent Conversions).
4.2 Claim Period. NFT Rewards must be claimed (minted) during the active Season 11 Program period. Upon conclusion of Season 11, any unclaimed NFT Rewards will expire and will no longer be available for minting. MEW is not responsible for NFT Rewards that expire due to user failure to claim within the applicable period.
4.3 No Monetary Value Guarantee. NFTs are digital collectibles with no guaranteed monetary or resale value. Any secondary market value is determined solely by market forces, and MEW makes no representation regarding the present or future value of any NFT Reward.
5. Eligibility and User Representations
5.1 General Eligibility. Participation in the Program is limited to users who (a) are at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is higher; (b) have a valid MEW wallet; (c) are not located in, organized under the laws of, or a resident of a Restricted Jurisdiction (as defined below); (d) qualify as a "non-U.S. person" as such term would be understood under Regulation S promulgated under the U.S. Securities Act of 1933, as amended; and (e) are not the subject of economic or trade sanctions administered or enforced by any governmental authority, including the U.S. Department of the Treasury's Office of Foreign Assets Control, the United Nations Security Council, the European Union, or any other applicable sanctions authority (collectively, "Sanctions"), and are not located, organized, or resident in a country or territory that is the subject of comprehensive Sanctions.
5.2 Restricted Jurisdictions. The Program is not available to users located in, organized under the laws of, or resident in any of the following jurisdictions (collectively, "Restricted Jurisdictions"): (a) the United States or any U.S. territory; (b) Hong Kong; (c) Belgium; (d) the Netherlands; (e) any jurisdiction that is the subject of comprehensive Sanctions, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine; and (f) any other jurisdiction where participation in the Program would violate applicable law or require licensure, registration, or other regulatory approval that has not been obtained.
5.3 User Representations. By participating in the Program or claiming a Reward, you represent and warrant to MEW that: (a) you satisfy all eligibility requirements set forth in this Section 5; (b) you are not located in, nor are you a resident or national of, any Restricted Jurisdiction; (c) you are a "non-U.S. person" as such term would be understood under Regulation S promulgated under the U.S. Securities Act of 1933, as amended, and you are not acquiring any Reward for the account or benefit of a U.S. person; (d) you are not the subject of Sanctions and are not owned or controlled by any person or entity that is the subject of Sanctions; (e) your participation in the Program does not violate any law, regulation, or order applicable to you; (f) you have not used, and shall not use, any virtual private network, proxy service, IP address masking tool, or other technical means to circumvent geographic restrictions, misrepresent your location, or otherwise evade or attempt to evade any eligibility requirements or restrictions applicable to the Program; (g) with respect to Tokenized Stock Rewards, you satisfy all eligibility requirements for receiving GM Tokens under Ondo Global Markets' terms and applicable securities laws, including the eligibility criteria and jurisdictional restrictions set forth in the Ondo Global Markets offering documents and prospectus; and (h) you acknowledge that the representations and warranties in this Section 5.3 are ongoing and shall remain true and correct at all times during your participation in the Program and upon each claim of any Reward.
6. Promotional Sweepstakes Rules
6.1 No Purchase Necessary.NO PURCHASE OR PAYMENT IS NECESSARY TO PARTICIPATE IN THE PROGRAM OR TO CLAIM REWARDS. A purchase or payment will not increase your chances of winning. Users accumulate Energy through engagement with the MEW application, including but not limited to completing onboarding tasks, daily check-ins, and other promotional activities, none of which require monetary payment.
6.2 Equal Odds. All Conversions have identical odds of receiving each Reward category as set forth in Section 2.
6.3 Sponsor. The Program is sponsored by MyEtherWallet Inc., a Delaware corporation with its principal place of business at 461 W Woodbury Road Unit #692, Altadena, CA 91001, USA.
6.4 Void Where Prohibited. The Program is void in Restricted Jurisdictions and wherever else prohibited or restricted by law. Users are solely responsible for determining whether their participation is lawful under applicable local law.
7. Tax Matters
All rewards received through the Program may be subject to income tax or other taxes in your jurisdiction. You are solely responsible for determining your tax obligations and for the payment of any taxes arising from your participation in the Program. MEW may, where required by law, withhold taxes or report reward values to applicable tax authorities. MEW recommends that you consult with a qualified tax professional regarding the tax treatment of rewards in your jurisdiction.
8. Additional Disclaimers
8.1 No Investment Advice. Nothing in this Addendum or the Program constitutes investment, financial, legal, or tax advice. GM Tokens and NFTs are speculative digital assets. You should conduct your own research and consult with qualified professionals before claiming or holding any Reward.
8.2 Third-Party Reliance. The Program relies on Third-Party Applications, including but not limited to Ondo Global Markets, 1inch Network, OpenSea, and the Ethereum blockchain. MEW is not responsible for any failure, delay, or error caused by such third parties or for the continued availability of their services.
8.3 Program Modification. MEW reserves the right to modify, suspend, or terminate the Program at any time, with or without notice, for any reason, including but not limited to compliance with applicable law, changes in third-party service availability, or detected abuse or fraud.
9. Governing Law and Dispute Resolution
This Addendum shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or relating to this Addendum or the Program shall be resolved in accordance with the Arbitration Agreement set forth in Section 10 of the Terms of Service.
